They are almost treating this like an eminent domain case, which it is not.  If the property is worth $40MIL in today's market, they need to replace the trustrees and keep it in the trust.  I have never heard wherein the Trustees of a Trust were "tired" of doing their jobs.  REPLACE them and keep the trust as it was intended!

Sound like the school district needs to sue the TRUSTEES!
