I really don't know.  I suppose I would check the Michigan law and evaluate my contacts with Michigan to see if I were required to register as a foreign corporation.  I don't think it is a simple matter of ordering searches, but also where the client's are located.  I'm not really sure how the state's interpret "transacting business" in the state. I also wonder about the exceptions for interstate commerce.

I am not familiar enough with those issues to form a strong opinoin either way.  Thankfully, my business is limited to Ohio.
