I keep going back to Leigh's original post wherein she states that Joe Blow is not listed as a manager of the LLC.  For me, that brings up a threshold question of whether he was acting for himself as a principle or as an undisclosed agent for the LLC.  If the latter, and if there is proof of his status as an undisclosed agent, that clears up any title issue.  If he was acting for his own benefit and then tossing his assignment to the LLC, then I think there is a cloud on the title.  

It's an interesting case.
