Generally a corporation incorporated in one state is regarded as a foreign corporation in another state. The foreign corporation is generally required to apply for a certificate of authority to do business in the state in which it is not incorporated but in which it is doing business. The fee for a certificate of authority is usually in the same area as the incorporation costs of a native corporation. LLC's are usually a lot less expensive. The foreign corporation/LLC is only required to get the certificate of authority only if it is doing business in the state. A corporation/LLC located in its native state but assigning work to individuals in other states may or may not be considered to be doing business in the foreign state.
